Disclaimer & Limitation of Liability Policy

1. No Warranty / "As Is" Clause

Orlan AI is provided on an "AS IS" and "AS AVAILABLE" basis. Orlan AI, its founders, parent companies, employees, and affiliates make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, uptime, accuracy, or non-infringement.

We do not warrant that:

• The SMS text messaging service will be uninterrupted, secure, or free from carrier filtering or blocking.
• The answers generated by the artificial intelligence assistant regarding property square footage, HOA covenants, pricing, or specifications will be 100% accurate or free from hallucination.
• The service will guarantee any leads, sales conversions, bookings, or commissions.

2. Complete TCPA & FCC Indemnification

The Telephone Consumer Protection Act (TCPA) and the Federal Communications Commission (FCC) govern automated commercial text messaging.

"Under all applicable laws, the Subscriber (the licensed real estate agent or brokerage utilizing the account) is recognized as the sole initiator and sender of all text communications. Orlan AI acts strictly as a software service provider (pipeline operator) under the direction of the Subscriber."

By using Orlan AI, you agree that:

• You are solely responsible for obtaining and documenting prior express written consent from any and all lead contacts before initiating automated communications.
• You will not upload cold, un-opted-in numbers or trigger unsolicited blasts.
• Indemnification: You shall defend, indemnify, and hold harmless Orlan AI, its founders, and affiliates against any and all claims, fines, carrier registry fees, class-action lawsuits, litigation costs, or statutory damages arising out of violations of the TCPA, CAN-SPAM Act, or local spam laws.

3. Generative Artificial Intelligence Output Disclaimer; Limitation of Algorithmic Accuracy

Orlan AI utilizes generative artificial intelligence models. Subscriber explicitly acknowledges and agrees that generative artificial intelligence systems are prone to algorithmic inaccuracies, "hallucinations," factual errors, and misinterpretations of input queries. Orlan AI makes no representation, warranty, or guarantee regarding the truth, validity, or accuracy of any output generated by the Service.

Orlan AI utilizes listings data inputted manually by the agent or fetched via third-party IDX/MLS syndicates. We are not liable for any misrepresentations, inaccuracies, or claims regarding properties, including structural defects, tax assessments, school zones, rental boundaries, or pricing details communicated by the AI to prospective buyers.

It is the Subscriber's (agent or broker) absolute duty and responsibility to review, audit, and verify the factual correctness of all messages, description drafts, and property data generated by the AI before allowing them to be sent or relied upon by third parties.

4. Total Cap on Damages

IN NO EVENT SHALL ORLAN AI, ITS FOUNDERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF COMMISSIONS, COMMISSION DISPUTES, REGULATORY FINES, BUSINESS INTERRUPTION, CLIENT RETENTION CLAIMS, OR SYSTEM DOWNTIME).

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORLAN AI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ORLAN AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

5. Carrier Filtering & Local Routing Fines

Orlan AI operates using carrier routes. In the event that US mobile carriers block, blacklist, or audit your local business line due to spam reports or non-compliance with brand verification registries (A2P 10DLC), Orlan AI is not responsible for any resultant interruption of business, messaging delivery failure, or registration fees.
